END USER LICENSE AGREEMENT
Fiscal Founders QuickBooks Reporting Integration
Effective Date: Jan 1, 2026
This End User License Agreement (“Agreement”) is entered into between Fiscal Founders LLC, a California limited liability company (“Fiscal Founders,” “we,” “us,” or “our”), and the entity that is an active client of Fiscal Founders under a separate services agreement (“Client,” “you,” or “your”) that accesses or uses the Fiscal Founders QuickBooks Reporting Integration (the “Integration”).
By connecting your QuickBooks account to the Integration, you agree to this Agreement.
1. Eligibility and Relationship to Services Agreement
The Integration is available only to active clients of Fiscal Founders who are subject to a separate written services agreement (the “Services Agreement”).
If your Services Agreement terminates, your right to access and use the Integration automatically terminates.
In the event of a conflict between this Agreement and the Services Agreement, the Services Agreement controls with respect to professional services.
2. Description of the Integration
The Integration:
- Connects to your QuickBooks Online account via Intuit’s authorized API
- Retrieves financial and transactional data that you authorize
- Generates customized financial reports, analytics, and internal management summaries
- Supports controller-level oversight and financial visibility
The Integration is designed primarily as a read-only reporting layer and does not alter your QuickBooks data unless explicitly agreed in writing.
3. License Grant
Subject to your compliance with this Agreement and your active Services Agreement, Fiscal Founders grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Integration
- Connect it to your QuickBooks Online account
- Use generated outputs for internal business purposes only
You may not:
- Reverse engineer, copy, or modify the Integration
- Provide access to third parties outside your organization
- Resell, sublicense, or distribute the Integration
- Attempt unauthorized access to systems or data
All rights not expressly granted are reserved by Fiscal Founders.
4. Relationship with Intuit
The Integration utilizes Intuit Inc.’s QuickBooks Online API.
You acknowledge:
- QuickBooks is owned and operated by Intuit Inc.
- Fiscal Founders is an independent third party and is not Intuit.
- Your use of QuickBooks is governed by your agreement with Intuit.
Fiscal Founders is not responsible for:
- QuickBooks outages or API interruptions
- Changes to Intuit’s API
- Errors originating from data entered into QuickBooks
5. Data Access, Use, and Retention
5.1 Authorized Access
The Integration accesses only the QuickBooks data you authorize through Intuit’s authentication process.
You represent that you have authority to grant such access.
5.2 Purpose Limitation
Data retrieved through the Integration is used solely to:
- Generate financial reports
- Conduct financial analysis
- Support services provided under your Services Agreement
Fiscal Founders does not sell or monetize client financial data.
5.3 Short-Term Retention
Financial data retrieved through the Integration is:
- Accessed and processed for report generation and analysis
- Retained only for the minimum period reasonably necessary to generate deliverables and maintain operational integrity
- Not stored indefinitely as a standalone data warehouse
Following termination of the Services Agreement, data associated with the Integration will be deleted within a commercially reasonable period, subject to legal or contractual retention requirements.
5.4 Aggregated Data
Fiscal Founders may use anonymized, aggregated data for internal analytics, benchmarking, or product improvement. Such data will not identify your company.
6. Confidentiality and Security
Fiscal Founders implements commercially reasonable administrative, technical, and physical safeguards, including:
- Encrypted transmission via Intuit OAuth
- Access controls for authorized personnel
- Secure system practices
You acknowledge that no system can guarantee absolute security.
Both parties remain bound by confidentiality obligations in the Services Agreement.
7. Client Responsibilities
You are responsible for:
- Maintaining accurate and complete records in QuickBooks
- Proper transaction classification and documentation
- Managing user permissions in QuickBooks
- Reviewing reports and outputs for accuracy
Reports generated by the Integration are dependent on the accuracy of underlying QuickBooks data.
8. No Independent Professional Advice
The Integration is a reporting tool.
Professional accounting services are provided only pursuant to the Services Agreement. The Integration itself does not constitute:
- Tax advice
- Legal advice
- Audit services
- Investment advice
Any reliance on reports should be consistent with the scope of services defined in your Services Agreement.
9. Term and Termination
This Agreement remains in effect while you are an active client and using the Integration.
Fiscal Founders may suspend or terminate access if:
- You breach this Agreement
- Your Services Agreement terminates
- Continued access presents security, compliance, or operational risk
Upon termination:
- API access will be revoked
- Access credentials will be disabled
- Data will be deleted in accordance with Section 5
10. Limitation of Liability
To the maximum extent permitted by California law:
Fiscal Founders shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits or revenue
- Business interruption
- Errors originating from inaccurate QuickBooks data
Total liability under this Agreement shall not exceed the fees paid by Client to Fiscal Founders in the twelve (12) months preceding the event giving rise to the claim.
Nothing in this Agreement limits liability to the extent such limitation is prohibited under applicable law.
11. Indemnification
Client agrees to indemnify and hold harmless Fiscal Founders from claims arising out of:
- Unauthorized or unlawful use of the Integration
- Inaccurate or unlawful data contained in Client’s QuickBooks account
- Client’s breach of this Agreement
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in California.
13. Modifications
Fiscal Founders may update this Agreement from time to time. Material updates will be communicated via email or written notice. Continued use of the Integration after notice constitutes acceptance.
